The business

Ligand Pharmaceuticals Incorporated (NASDAQ: LGND) is a biopharmaceutical royalty company focused on deploying capital and licensing technologies to acquire and create diversified royalty streams from high-value medicines. The company generates revenue primarily through royalties on sales of products commercialized by its partners, supplemented by material sales from its technology platforms and contract revenue from license fees and milestone payments. Ligand's website is www.ligand.com.

The company operates through a disciplined capital allocation strategy targeting mid- to late-stage development and commercial biopharmaceutical products. Rather than building traditional drug development infrastructure, Ligand structures investments through royalty purchases, development-stage financing arrangements, and acquisitions of companies or assets with embedded royalty rights. This model enables the company to generate long-duration, non-dilutive cash flows while maintaining a lean corporate cost structure.

Ligand maintains a portfolio of more than 90 commercial and development-stage programs, with twelve major commercial-stage revenue-generating royalty assets forming the majority of royalty revenue. Key commercial products generating royalties include Kyprolis (Amgen), Qarziba (Recordati), Filspari (Travere), Ohtuvayre (Merck), Rylaze (Jazz Pharmaceuticals), and Capvaxive (Merck). The company also operates two infrastructure-light technology platforms: Captisol, a chemically modified cyclodextrin enabling seventeen FDA-approved products, and NITRICIL, a nitric oxide-based platform currently leveraged in the FDA-approved product Zelsuvmi.

Following a strategic refocus in 2022, Ligand divested its OmniAb antibody discovery business and Pelican Expression Technology subsidiary, concentrating on high-margin royalty aggregation. In July 2025, the company completed the Pelthos Transaction, investing $18 million to establish a significant ownership stake in Pelthos Therapeutics, which commercializes Zelsuvmi for molluscum contagiosum treatment.

The company's business model emphasizes portfolio diversification across therapeutic areas to mitigate binary clinical outcomes inherent in biopharmaceuticals, while leveraging partners' capabilities in development, regulatory execution, and commercialization. Ligand's competitive advantages include deep industry relationships, experienced investment professionals, access to proprietary deal flow through confidential disclosure agreements, and flexible transaction structures accommodating various partner objectives.
