Diversified Healthcare Trust (NASDAQ: DHC) is a real estate investment trust that owns and operates a diversified portfolio of healthcare properties throughout the United States. The company's principal executive offices are located in Newton, Massachusetts, and its website is www.diversifiedhealthcare.com.

As of December 31, 2025, DHC owned 298 properties located in 33 states and Washington, D.C., including 13 properties classified as held for sale. The company also maintains equity interests in two unconsolidated joint ventures that own medical office and life science properties comprising approximately 2.2 million rentable square feet across five states.

The company operates through multiple property segments. Its Senior Housing Operating Portfolio, or SHOP, consists of 212 senior living communities managed by 14 third-party operators. These communities include independent living facilities, assisted living communities, memory care communities, and skilled nursing facilities. DHC's Medical Office and Life Science Portfolio comprises commercial properties leased to healthcare providers, physicians, clinics, and life science or laboratory tenants. The company also owns wellness centers offering exercise facilities, sports training, and related services.

DHC employs a taxable REIT subsidiary structure for its senior living communities, leasing properties to its TRS entities which then contract with third-party managers to operate the facilities. This structure allows the company to maintain REIT qualification while generating operating income from managed properties. Management agreements typically provide managers with fees based on gross revenues plus reimbursement of direct costs, with potential incentive fees tied to EBITDA performance.

The company's investment strategy focuses on capitalizing on demographic trends, particularly the aging U.S. population. According to Census data, the age 75+ demographic is projected to grow at an average annual rate of 4% between 2025 and 2035.
