Seritage Growth Properties (NYSE: SRG) is a real estate investment company focused on the ownership, development, redevelopment, management, sale and leasing of retail and mixed-use properties throughout the United States. The company operates through its primary operating entity, Seritage Growth Properties, L.P., a Delaware limited partnership. More information about the company is available at www.seritage.com.
The company was formed in June 2015 to acquire certain owned properties and joint venture interests from Sears Holdings Corporation, which were simultaneously leased back under master lease agreements. Following Sears Holdings' bankruptcy filing in October 2018, Seritage entered into a master lease with Transform Holdco LLC covering 51 consolidated properties. Since March 2021, the company has not leased properties to Sears Holdings or its successors.
As of December 31, 2025, Seritage's portfolio consisted of interests in ten properties comprising approximately 0.8 million square feet of gross leasable area and 156 acres of land. The portfolio includes five consolidated properties representing approximately 0.3 million square feet and 71 acres, and five unconsolidated properties representing approximately 0.5 million square feet and 85 acres. The portfolio is diversified across six states, with two tenants comprising 43.5 percent and 32.1 percent respectively of annualized base rent.
In March 2022, Seritage's board of trustees commenced a review of strategic alternatives to enhance shareholder value. In October 2022, shareholders approved the Plan of Sale, which authorizes the board to sell all company assets, distribute net proceeds to shareholders, and dissolve the company. The company revoked its REIT election effective January 1, 2022, becoming a taxable C Corporation, which provides greater flexibility in utilizing free cash flow.
As of December 31, 2025, Seritage had five full-time employees located primarily in the United States. The company faces challenging market conditions including elevated interest rates, limited availability of debt and equity capital, and downward pricing pressures on real estate assets. Outstanding indebtedness totaled $50.0 million as of year-end 2025, with a maturity date of July 31, 2026.
