The business

Rambus Inc. (NASDAQ: RMBS) is a global semiconductor company headquartered in San Jose, California, providing industry-leading chips and silicon intellectual property for data-intensive computing systems. The company operates through three primary business segments: memory interface chips, silicon IP, and patent licenses. More information about the company is available at www.rambus.com.

The memory interface chips segment represents the company's largest product offering, providing complete chipset solutions for industry-standard DDR5 and LPDDR5 memory modules used in server and client systems. These offerings include registering clock drivers, multiplexed registering clock drivers, multiplexed data buffers, client clock drivers, power management integrated circuits, serial presence detect hubs, and temperature sensors. The company sells these products directly and indirectly to memory module manufacturers, original equipment manufacturers, and hyperscalers worldwide through its direct sales force and distributors.

The silicon IP segment comprises high-performance interface and security IP solutions designed for advanced artificial intelligence, data center, government, and automotive applications. Interface IP solutions include HBM memory controller IP, GDDR memory controller IP, PCIe controllers, and CXL controller IP. The security IP portfolio encompasses hardware roots of trust, high-speed protocol engines, crypto cores, and chip provisioning technologies. These solutions are sold primarily through the company's direct global sales force to leading chipmakers for integration into custom silicon, application-specific standard products, and field programmable gate array designs.

The patent licenses segment generates revenue from licensing the company's broad worldwide portfolio of patents covering memory architecture, high-speed serial links, and security to leading semiconductor and electronic system companies. License agreements typically feature fixed or variable royalty payments over periods ranging up to ten years.

Rambus operates a fabless business model, utilizing third-party foundries and manufacturing contractors for fabrication, assembly, and testing while maintaining inspection and testing capabilities at U.S.-based facilities. As of December 31, 2025, the company employed 791 people globally, with approximately 47 percent based in the United States and 53 percent in other regions including Bulgaria, Canada, China, Finland, France, India, the Netherlands, South Korea, and Taiwan. Approximately 71 percent of employees work in engineering roles. The company maintains an active intellectual property protection program with 2,049 U.S. and foreign patents and 486 pending patent applications as of year-end 2025.
