The VictoryShares Free Cash Flow ETF (the Fund) seeks to provide investment results that closely correspond, before fees and expenses, to the performance of the Victory U.S. Large Cap Free Cash Flow Index (the Index).

The fund tracks the Victory U.S. Large Cap Free Cash Flow Index, which selects 50 large-cap U.S. companies screened for high free cash flow yields—the ratio of free cash flow to enterprise value—and ranked by growth metrics including sales and earnings trends. The fund holds all index constituents and rebalances quarterly. Because individual holdings are capped at 4% and sector weightings are limited to 20% of their Parent Index weight, the fund's sector exposure may differ materially from the broader market.
